Terms of Service
1. Agreement
These Terms of Service (the “Terms”) are a binding agreement between you (“Customer”, “you”) and Cambrian (“Cambrian”, “we”) governing your use of the Cambrian inference API at api.cambrianinfra.com, the website at cambrianinfra.com, and any related services (the “Services”). By requesting an API key or using the Services you accept these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind it, and “you” means that organization.
2. Eligibility and accounts
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of the information you give us and for keeping it current.
3. The Services
The Services provide programmatic access, through an OpenAI-compatible HTTP API, to open-weight machine learning models that we host. The models available, their context limits, and their prices are published at /v1/models. We may add, change, or remove models, and change prices, and will give reasonable advance notice of price increases and of the removal of a model to the email on your account.
4. API keys
An API key identifies your account, and all use made with it is yours. Keep keys confidential; do not embed them in client-side code or share them. If a key is exposed, revoke it or tell us immediately. We may attach a spending ceiling and a concurrency limit to a key and will tell you what they are; requests beyond them are refused with a clear status code and are not queued.
5. Acceptable use
You will not, and will not permit anyone to, use the Services:
- in violation of any applicable law or regulation, or to generate content that is unlawful where you or your end users are;
- in breach of the license terms of the model you are calling;
- to violate the rights of others, including privacy and intellectual property rights;
- to probe, scan, overload, or interfere with the Services or the systems behind them, or to circumvent limits on a key;
- to develop a competing service by systematic extraction of model outputs, where the model’s license forbids it;
- to resell or sublicense access in a way that conceals from us who is using it, except as agreed in writing.
Marketplaces and aggregators that route their users’ requests to us under their own key are welcome, and are responsible for their users’ compliance with this section.
6. Your content and zero data retention
“Content” means the prompts and other inputs you send to the Services and the outputs the models return. As between you and Cambrian, you own your Content. You grant us only the right to process it as needed to provide the Services to you, in the moment. We do not store Content, do not log it, do not review it, and do not use it to train or improve any model; our Privacy Policy describes the usage metadata we do keep. You are responsible for your Content, for having the rights to send it, and for how you use outputs, which may be inaccurate and which you should not rely on without review.
7. Intellectual property
We and our licensors own the Services, including our software, documentation, and infrastructure. The models are open-weight and belong to their respective authors under their own licenses, which you agree to comply with. Nothing in these Terms transfers any of these rights to you beyond the limited right to use the Services under these Terms.
8. Fees and payment
Usage is metered per token in three classes, input, input served from the prefix cache, and output, at the prices published for the model at the time of the request. Usage is invoiced monthly through our payment processor and charged to the payment method on file unless we have agreed other terms in writing. Invoices are due on receipt. Prices exclude taxes, which you are responsible for. Our per-request usage record is the basis of every invoice; you may request it, and any dispute must be raised within thirty days of the invoice.
9. Availability and changes
We work to keep the Services available and fast, but they are provided without a guaranteed service level unless one is agreed in writing. We may modify the Services, and may suspend them for maintenance, for security, or when required by law or a provider we depend on, giving notice where practical.
10. Disclaimers
THE SERVICES AND ALL MODEL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. MODEL OUTPUTS ARE GENERATED AUTOMATICALLY AND MAY BE INCORRECT, INCOMPLETE, OR OFFENSIVE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CAMBRIAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. CAMBRIAN’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will defend and indemnify Cambrian against third-party claims, and the resulting damages and reasonable costs, arising from your Content, your end users, or your breach of these Terms or of a model’s license.
13. Term and termination
These Terms apply from your first use of the Services until terminated. You may stop using the Services and close your account at any time. We may suspend or revoke a key, or terminate these Terms, for breach, for non-payment, or to protect the Services or comply with law, and will tell you why. On termination you remain liable for fees incurred, and sections 6, 7, 8, 10, 11, 12, 13, and 15 survive.
14. Changes to these Terms
We may update these Terms. The date at the top is the date of the version in force. Material changes are sent to the email on your account before they take effect, and continued use after that date is acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules, and the state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction. Before filing a claim, each party agrees to try in good faith to resolve the dispute by contacting the other.
16. General
These Terms, with the Privacy Policy and any written agreement between us, are the entire agreement about the Services and supersede prior agreements. If a provision is unenforceable it is limited to the minimum extent necessary and the rest remains in force. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Our failure to enforce a provision is not a waiver. Notices to you go to the email on your account; notices to us go to the address below.
